1. General Provisions
These Terms of Service set forth the terms and conditions for the use of the website, products, and services provided by CAVIN Inc. under the L’aile brand.
2. Account Registration and Order Information
Customers must provide accurate and up-to-date information when placing an order or registering an account.
For business transactions, we may request company verification documents, business information, and other necessary information.
3. Nature of Products
Fresh flowers are natural products and perishables.
Natural variations in color, shape, bloom stage, fragrance, size, and other characteristics do not automatically constitute defects.
4. Order Formation
Orders are formed after we confirm stock availability, lawful exportability, import feasibility, payment completion, and the feasibility of customs clearance and plant quarantine procedures.
We may reject or cancel an order if there are reasonable grounds, including incomplete documentation, delivery infeasibility, legal issues, quality preservation risks, or other similar circumstances.
5. Prices and Additional Charges
Product prices are displayed in [currency].
Unless expressly stated otherwise, shipping fees, taxes, import GST, customs clearance fees, customs broker fees, storage fees, inspection fees, and other destination-side charges may apply separately.
6. Payment
We accept [credit cards / bank transfer / other payment methods].
Unless separate B2B credit terms apply, payment must be completed before shipment.
7. Delivery
Delivery dates are estimates only and are not guaranteed.
Delays may occur due to customs clearance, plant quarantine, weather, carrier disruption, recipient-side circumstances, or other factors.
We are not responsible for deterioration in quality caused by absence of the recipient, incorrect address information, delayed receipt, or other circumstances attributable to the customer.
8. Inspection and Claims
Customers must inspect products immediately upon delivery and submit any claims in accordance with the deadlines and procedures set forth in our Shipping Policy.
9. Returns and Refunds
Because fresh flowers are perishable products, returns and exchanges after shipment are generally not accepted, except where required by law.
Natural variations, minor bloom progression, customer preference, and issues caused by handling or storage after delivery are not eligible for refund.
10. Business Transactions
For business transactions, pricing, credit terms, membership conditions, project-specific terms, and other individual terms may be separately specified in quotations, invoices, account terms, individual agreements, or other written documents.
In the event of any conflict between such individual written documents and these Terms, the individual written documents shall prevail.
11. Intellectual Property Rights
All rights relating to text, images, product photographs, logos, designs, trademarks, brand indications, and all other content on this website belong to CAVIN Inc. or the relevant legitimate rights holders.
Unauthorized reproduction, copying, redistribution, scraping, or commercial use is prohibited.
12. Limitation of Liability
To the extent permitted by law, our liability shall be limited to the amount paid by the customer for the relevant order.
We shall not be liable for indirect damages, special damages, incidental damages, lost profits, reputational damage, or similar losses.
13. Force Majeure
We shall not be liable for any delay or non-performance caused by events beyond our reasonable control.
14. Governing Law and Jurisdiction
Unless mandatory consumer protection laws apply, these Terms shall be governed by the laws of Japan.
Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance, depending on the amount in controversy.
